By using or accessing the Sites, you affirm you are able and legally competent to accept and agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Sites.

1. Eligibility to Use Sites

• If you make a reservation or purchase a service through the Sites, you are doing so either for yourself, for friends or family members with their consent, or as an authorized agent for your client.

• If you make a reservation or purchase a service through the Sites, the payment details you provide are valid and can be used to verify your identity and process the transaction.

• The email address you provide in connection with a booking or purchase is personal, unique, and used exclusively by you.

3. Prohibited Use of the Sites

You agree to use the Sites only for lawful purposes and in accordance with these Terms. You are prohibited from using the Sites:

• In any way that violates any applicable national or international law or regulation.

• To exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content.

• To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Sites, or which may harm Hidden Sidewalks, its users, or expose them to liability.

• To impersonate or attempt to impersonate Hidden Sidewalks, a Hidden Sidewalks employee, another user, or any other person or entity.

• To transmit any unlawful, fraudulent, defamatory, obscene, or otherwise objectionable material.

• To interfere with the proper working of the Sites, introduce malicious or harmful software, or disrupt the Sites' functionality.

4. Changes to Terms, Sites and Services

We reserve the right to modify these Terms of Use at any time. When we make changes, we will update the "Last Update" date at the top of this document. Your continued use of the Sites after the posting of any changes means you accept the modified Terms. We also reserve the right to modify, suspend, or discontinue any service or feature of the Sites without notice. Hidden Sidewalks shall not be liable for any suspension or discontinuation of services.

5. Use of Sites on Mobile Devices

Access to the Sites may be available via a mobile device. Standard data charges from your mobile service provider may apply. By using our Sites on your mobile device, you agree that you are solely responsible for any such charges.

 

6. Messages and Communications

By using the Sites and providing your contact details, you agree to receive electronic communications from us, including through email or messaging platforms such as WhatsApp, Line, or other similar services. You can opt out of receiving communications at any time by contacting us, but certain necessary communications related to your booking or account cannot be opted out of.

The Sites may link to, interact with, or be available on websites, applications, platforms, and services or products operated and owned by third-parties (“Third Party Sites”) such as tour booking platforms, travel agencies, or social media providers. If you access such Third Party Sites or products, note that different terms and privacy policies may apply to your use of the Third Party Sites or products. None of the links to the Third Party Sites is deemed to imply that we endorse the Third Party Sites or any content contained therein. We do not control or monitor the content, functionality or accuracy of Third Party Sites. You use Third Party Sites at your own risk. We have no liability for any damages or loss alleged to be caused in connection with any use of or reliance on any content, services, or purchases available on or through any Third Party Site.

8. User Content

You may submit, upload, or share content (such as reviews, feedback, or other materials) via the Sites. By doing so, you grant Hidden Sidewalks a non-exclusive, royalty-free, worldwide, perpetual license to use, modify, reproduce, and display such content in connection with our business. You are solely responsible for any content you submit, and you agree not to submit any content that is unlawful, defamatory, obscene, or otherwise objectionable. We reserve the right to remove any content at our discretion.

 

9. Intellectual Property Rights

The Sites, including all text, graphics, logos, images, and software, are the property of Hidden Sidewalks GK or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

10. Legal Disputes and Agreement to Arbitrate

In the event of any dispute or claim arising from or relating to these Terms or your use of the Sites, you agree to resolve such disputes through binding arbitration. The arbitration shall be conducted in accordance with the rules of the Japan Commercial Arbitration Association (JCAA), and the proceedings shall take place in Tokyo, Japan. By agreeing to arbitration, you waive any right to a jury trial or to participate in a class-action lawsuit.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hidden Sidewalks GK, its affiliates, and its employees from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Sites, violation of these Terms, or any unlawful or wrongful conduct related to your account or content submissions.

The Sites are provided on an "as is" and "as available" basis. Hidden Sidewalks makes no representations or warranties of any kind, either express or implied, regarding the operation of the Sites or the information, content, materials, or services offered. We do not guarantee that the Sites will be available at all times or that they will be free from errors, viruses, or other harmful components.

13. Disclaimer of Liabilities

To the fullest extent permitted by law, Hidden Sidewalks GK shall not be liable for any damages of any kind arising from the use or inability to use the Sites, including but not limited to direct, indirect, incidental, punitive, and consequential damages. This includes any damages resulting from errors, omissions, interruptions, defects, delays, or unauthorized access to or alteration of the Sites.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. Any legal action or proceeding relating to your access to or use of the Sites shall be instituted in the courts of Tokyo, Japan, and you consent to the exclusive jurisdiction and venue of such courts.
